Building accountability: How we strengthen corporate governance together
Governance at LANXESS defines the rules by which all employees must operate within the company at all times. These rules apply universally and are rooted in a system of five central values:
- Respect,
- Ownership,
- Trust,
- Professionalism,
- Integrity.
They serve as the cornerstone of collaboration. Our governance creates a framework that promotes both responsible behavior and high performance, by aligning with internationally recognized principles such as the U.N. Global Compact. This values-driven system, supported by effective management structures, enables sustainable and ethical corporate governance.
Our Corporate Policy, built upon these five values, lays the groundwork for our interactions with all stakeholders.
Internal guidelines and regulations are crucial for the functioning of our corporate policy and maintaining the trust of our partners, customers, and the public, as well as ensuring our sustainable success.
At the core is our Code of Conduct, enforced across all regions and levels. It outlines the fundamental principles of lawful and ethical behavior, directing all employees to act with responsibility, integrity, and transparency. This is reinforced by our HSE Directives (Health, Safety, Environment) ensuring high standards across all business areas.
Our Anti-Corruption Policy, rooted in our commitment to the U.N. Global Compact, prohibits any form of bribery or unethical advantage, with clear conduct expectations for employees in their dealing with external stakeholders.
Another key aspect of governance are our Tax Guidelines, which reflect responsible tax practices and compliance with global regulations, demonstrating our commitment to contributing to the communities in which we operate.
Covering a wide range of topics and operating fields, these guidelines provide a comprehensive framework to guarantee that all business operations meet the highest standards of responsibility and integrity.
To prevent violations, our compliance organization plays a central role in the adherence to both legal and internal standards. A global network of Compliance Officers, led by the Group Compliance Officer, supports employees in preventing unlawful or unethical conduct and provides a clear point of contact and a direct reporting line to the Board of Management to maintain regular oversight.
In case of any breaches of the Code of Conduct, LANXESS has a group-wide "SpeakUp" system, allowing employees, business partners, and third parties to confidentially report violations. All reports are thoroughly investigated. Compliance training keeps employees informed and vigilant.
